PROPOSED DISSOLUTION OF QUOTA INTERNATIONAL

Proposal for Dissolution of
Quota International, Inc.

With great sadness, the Quota International Board of Directors has voted to propose the dissolution of Quota International, Inc., the later of September 30, 2020, or the sale of the final Quota International office unit. The primary cause is the drop of Quota’s membership below a level that is viable to sustain the organization going forward. Thirty-two clubs have dissolved since October 1, 2018, and Quota’s membership has dropped to a

new low of 3,638 members, a drop of 416 members and 32 clubs as of October 1, 2018 - just one year ago.

In order to allow for the participation of all voting delegates throughout the world, an e-mail ballot containing the proposal to dissolve Quota's international structure will be sent out in mid-February 2020 with voted ballots due back at the Quota International office located in Washington, D.C., on or before March 26, 2020, 5:00 pm, Eastern Daylight Time. The collection of proposed bylaw amendments and international nomination forms, donations, and new members forms and fees will be suspended until the results of the e-mail ballot vote are known.

Because its goal is to end well, the Board of Directors proposes to invest in the success of all current Quota clubs  in good standing to encourage their continuation in their home communities. The Board proposes to do this by providing information on how clubs can continue on without the Quota International structure and by disbursing to clubs in good standing a portion of reserve monies not needed for operating the organization through the 2019- 2020 fiscal year or dissolving the structure after that date. In addition, the Board of Directors will provide opportunities for members to meet together at 2020 Regional Meetings and Convention 2020 to discuss potential geographical connections in the future.
